1.1. “Buyer” refers to the person purchasing goods from Oak Tree Shutters Ltd.
1.2. “Conditions” indicate the terms and conditions outlined in this document, along with any special terms agreed upon in writing by Oak Tree Shutters Ltd.
1.3. “Contract” signifies the agreement between Oak Tree Shutters Ltd and the Buyer for the purchase of goods in line with these Conditions.
1.4. “Goods” represent the items and services agreed to be purchased from Oak Tree Shutters Ltd by the Buyer.
1.5. “Price” refers to the cost of the Goods, including VAT.
1.6. “Seller” refers to Oak Tree Shutters Ltd, registered at Baddiley Lane Farmhouse, Baddiley Lane, Nantwich, Cheshire, CW5 8BP.
1.7. “Force Majeure Event” denotes unforeseen circumstances beyond reasonable control, such as natural disasters or industrial disputes.
1.8. “Order” signifies the Buyer’s request for Goods, as specified in the Buyer’s acceptance of Oak Tree Shutters Ltd’s quotation or purchase order.
Applicable Conditions
2.1. These Conditions apply to all contracts for Goods sold by Oak Tree Shutters Ltd to the Buyer, superseding any other terms and conditions.
2.2. An Order for Goods is considered an offer by the Buyer, subject to these Conditions.
2.3. Accepting Goods upon delivery implies acceptance of these Conditions by the Buyer.
2.4. Any conflicting terms in documents provided by the Buyer are waived by these Conditions.
2.5. Changes to these Conditions or the Contract require written agreement from Oak Tree Shutters Ltd and may affect the Price.
2.6. Descriptions or illustrations provided by Oak Tree Shutters Ltd are for guidance and do not form part of the Contract.
2.7. Oak Tree Shutters Ltd reserves the right to photograph work areas for marketing purposes, with Buyer’s prior approval.
Cancellation by Seller
3.1. Oak Tree Shutters Ltd reserves the right to cancel the contract before Goods delivery, with a full refund to the Buyer.
Cancellation by Buyer
4.1. Due to the bespoke nature of Made to Measure orders, The Buyer may cancel the contract before the Goods go into production (usually within 24hrs), with a written notice to Oak Tree Shutters Ltd. Refunds are subject to deducted admin costs.
4.2. Any deposit paid by the Buyer shall be returned after deduction of incurred costs upon cancellation.
Price and Payment
5.1. The Price quoted by Oak Tree Shutters Ltd is Inclusive of VAT and a deposit of 70% of the total order cost is due at the point of sale, with the balance payable in the week of installation.
5.2. Payment methods is by bank transfer or card payment.
5.3. Outstanding invoices beyond terms may incur surcharges and legal fees.
5.4. The Buyer may withhold payment for incomplete or unsatisfactory work upon Oak Tree Shutters Ltd’s discretion.
5.5. Deposit payments must be made promptly; failure may result in immediate full payment request or cancellation of Order.
5.6. Costs for enforcing payment are borne by the Buyer.
Listed Buildings & Conservation Areas
6.1. The Buyer must verify if premises are listed buildings or in conservation areas.
6.2. Necessary approvals affecting the Order may alter the Total Contract Price.
The Goods
7.1. Goods descriptions and quantities adhere to Oak Tree Shutters Ltd’s Purchase Contract. Additionally, specifications may change for compliance with safety requirements.
7.2. Buyer’s responsibility includes obtaining necessary permits and permissions. Moreover, the Buyer ensures adequate structural support for Goods.
Remedial and Ancillary Work
8.1. Buyer assumes liability for structural defects of existing structures. Furthermore, the Buyer is responsible for additional work not covered by the Contract.
Warranties and Exclusions
9.1. Oak Tree Shutters Ltd guarantees order defect repairs or replacements. Additionally, guarantee exclusions include alterations by the Buyer and defects caused by misuse.
9.2. Buyer’s access for inspection is necessary. Also, liability limits apply.
Delivery of the Goods
10.1. Delivery is made to the Buyer’s address by Oak Tree Shutters Ltd on the day of installation. Furthermore, delivery times are approximate; delays may occur due to Force Majeure Events.
10.2. Buyer’s cooperation for delivery and installation is required. Additionally, Buyer’s preparation work before installation is necessary.
Complaints Procedure
11.1. Oak Tree Shutters Ltd are available by phone, email, and letter and will make all reasonable attempts to resolve disputes between Buyer and Seller. Moreover, the complaints procedure is to submit the complaint in writing to Oak Tree Shutters Ltd, Baddiley Lane Farmhouse, Baddiley Lane, Nantwich, Cheshire, CW5 8BP.
Showhome Conditions
12.1. Conditions for eligibility and display requirements for showhome prices apply.
Title and Risk
13.1. Title passes to Buyer upon full payment; risk passes upon delivery.
Notices
14.1. Formal notices must be in writing and sent to the Oak Tree Shutters Ltd address.
Headings
15.1. Headings are for reference only and do not affect interpretation.
Severance
16.1. Invalid provisions do not affect the Contract’s validity.
Force Majeure
17.1. Neither party is liable for delays due to Force Majeure Events.
Entire Agreement
18.1. The Contract supersedes all prior agreements.
